Graeme became a partner at Fieldfisher in 1988. Graeme is recognised as a leading expert on employee share plans. The 2002/2003 edition of Chambers describes him as a "soft-talking heavyweight" with an "awesome knowledge of the tax aspects of employee share schemes". Graeme has been involved in developing share ownership legislation both in the UK and overseas. He was appointed by HM Treasury as a member of the Employee Ownership Advisory Group, which worked with the Inland Revenue to develop the Share Incentive Plan and Enterprise Management Incentives. In 2002, he was instrumental in the development and drafting of the Employee Share Schemes Act, the only piece of legislation ever created in the UK devoted entirely to employee share ownership . Senior Associate, Share Plans Mark Gearing is a senior associate in the equity incentives team. He advises on the design, implementation and operation of employee share plans including all forms of tax efficient HM Revenue & Customs (HMRC) approved share plan. Mark advises on the associated tax implications of operating share plans for both the employer and employee, and negotiates share valuations with HMRC for share plan purposes. As well as advisory work, Mark provides incentives advice in relation to corporate transactions, including the taxation of founders' equity for start ups, venture capital fundraisings, IPOs and M&A/private equity. Mark's expertise also covers the tax implications of issuing restricted securities to employees and directors. As well as corporate related work, Mark advises senior executives and, increasingly, investment bankers and hedge fund managers on their equity based remuneration in both entry and exit situations. Mark is a member of the Share Plan Lawyers Group and gives regular seminars on employee share plans to other lawyers, accountants and in-house counsel nationwide through BPP Professional Development. Andrew has been a partner since 1993. A corporate lawyer specialising in the technology, media and telecoms sector, his clients include telecoms operators, software companies and content providers. Nicholas has been a partner at Fieldfisher since 1993. He deals with corporate finance and Mergers & Acquisitions with a particular interest in privatisation and PPP, and advises on the Financial Services and Markets Act and more generally on securities regulations. Margaret qualified as a solicitor in 1983 and joined Fieldfisher in 1998 as a partner. Heading up the firm's Employment Department, she has considerable experience of all aspects of the employment relationship, including drafting contracts of employment, advising and acting on dismissals, discrimination and equal pay claims, and large scale redundancy exercises. She also has extensive experience of advocacy in the Employment Tribunals and has acted in many reported cases. Margaret is a frequent speaker at lectures and seminars and writes for a variety of publications, including regular contributions to the employment section of the Charity Finance Directors Handbook.
